Terms of Service for NPO Studios Games

Effective Date: January 1st, 2025

1. Introduction

By downloading, installing, or using any games developed by NPO Studios (“we,” “us,” “our”), you (“User,” “you,” “your”) agree to comply with and be bound by the following Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our Games.

These Terms apply to all users who access or use our Games, regardless of whether or not they register an account with us. By downloading, installing, or using the Game, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

2. Account Registration and User Responsibilities

Creating an Account: In order to participate in leaderboards and other features, you may be required to create a user account by providing a valid email address and creating a username. You must provide accurate and up-to-date information during registration.
Account Security: You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to notify us immediately if you suspect any unauthorized use of your account.
User Conduct: You agree to use our Games in a manner that is lawful, respectful, and consistent with these Terms. You agree not to:
- Engage in any form of cheating, hacking, or unauthorized modifications to the Games.
- Harass, abuse, or threaten other players.
- Post offensive, obscene, or inappropriate content.
- Violate any applicable laws or regulations while using the Games.

We reserve the right to suspend or terminate your account if we believe you have violated these Terms.

3. Content Ownership and Intellectual Property Rights

Our Ownership: All rights, title, and interest in our Games, including but not limited to graphics, software, code, trademarks, and content, are owned by NPO Studios and protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our Games for personal, non-commercial purposes only.
User Content: By submitting feedback, comments, or content to us, you grant NPO Studios a worldwide, royalty-free, perpetual license to use, modify, distribute, and display such content in connection with our Games, including promotional purposes, without compensation to you.

4. Payment and Subscriptions

In-App Purchases: Some of our Games may offer in-app purchases or premium features. All transactions are processed through third-party payment providers (e.g., Apple, Google). You agree to comply with the payment terms of these providers.
Refunds: Because of the nature of digital goods, all sales are final, and no refunds will be provided by NPO Studios. Please review the refund policies of the third-party platforms (Apple App Store, Google Play Store) for any applicable policies regarding in-app purchases.

5. Third-Party Services and Ads

Third-Party Services: Our Games may contain links to third-party websites, services, or content, including advertising partners such as Unity Ads. These third parties operate under their own terms and privacy policies, and we are not responsible for their actions.

6. Termination of Account

Termination by User: You may delete your account at any time by accessing the account options within the Game and choosing to delete your account and associated data. Upon deletion, you will lose access to any leaderboard data and game-related progress.
Termination by NPO Studios: We reserve the right to suspend or terminate your account if we believe you have violated these Terms or engaged in any activity that is harmful to the Games or other users. Upon termination, all data associated with your account may be deleted.

7. Disclaimers and Limitation of Liability

Game Availability: We do not guarantee that our Games will be available at all times without interruptions. We are not responsible for any downtime or technical issues that may prevent access to the Games.
No Warranties: The Games are provided “as is,” without any warranties, express or implied. We do not warrant that the Games will be free from errors, bugs, or other issues.
Limitation of Liability: NPO Studios is not liable for any damages arising from your use of the Games, including but not limited to loss of data, personal injury, or in-app purchases. You use the Games at your own risk.

8. Indemnification

You agree to indemnify and hold harmless NPO Studios, its employees, affiliates, and agents from any claims, losses, or damages, including reasonable attorney’s fees, arising out of your use of the Games, violation of these Terms, or infringement of any third-party rights.

9. Privacy and Data Collection

10. Governing Law and Dispute Resolution

Jurisdiction: These Terms shall be governed by the laws of the United States and the state of Florida, without regard to its conflict of laws principles.
Dispute Resolution: Any disputes arising from these Terms will be resolved through binding arbitration in Florida, and you agree to waive any right to a jury trial.

11. Force Majeure

NPO Studios will not be held responsible for any delay or failure to perform any obligation under these Terms if the delay or failure is due to causes beyond our reasonable control, including but not limited to, natural disasters, internet outages, or governmental actions.

12. Changes to the Terms of Service

We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date. We will notify you of material changes via in-game notification or email, and your continued use of the Game following such changes will signify your acceptance of the updated Terms.
